Terms of engagement.
The plain-language ground rules for working with Sketch Brain. Written so that a founder can read them in five minutes.
1. Agreement
By engaging Sketch Brain Studio Pvt. Ltd. (“Sketch Brain”, “we”, “our”) for any service, you agree to the terms set out below. These terms govern every project, retainer or one-off engagement unless a signed statement of work says otherwise.
2. Scope of Work
Each engagement is defined by a written proposal or statement of work outlining deliverables, timelines and pricing. Any change to scope will be quoted separately and added to the project via a change order.
3. Payments
We invoice 50% upon start and 50% on delivery for project work. Retainers are billed monthly in advance. Invoices are due within 14 days. Overdue balances accrue 1.5% interest per month. Sketch Brain reserves the right to pause work on overdue accounts.
4. Intellectual Property
Upon full payment, ownership of the final approved deliverables transfers to the client. Working files, source designs, and tools created during development remain the property of Sketch Brain unless explicitly licensed. We retain the right to display completed work in our portfolio and marketing.
5. Revisions & Approvals
Each project includes a defined number of revision rounds. Additional rounds are billed at our standard hourly rate. Written approval by the client’s point of contact is treated as final sign-off.
6. Confidentiality
Both parties agree to keep proprietary information confidential during and after the engagement. We are happy to sign your NDA before commencing work.
7. Liability
Our total liability under any engagement is limited to the fees paid for that engagement. We are not liable for indirect or consequential damages, or for third-party media spends, platform outages, or vendor delays outside our control.
8. Termination
Either party may terminate a project or retainer with 30 days written notice. Fees for work completed up to the termination date are payable in full.
9. Governing Law

10. Changes to These Terms
We may update these terms occasionally. Material changes will be communicated via email to active clients. Continued use of our services constitutes acceptance of the updated terms.
